Job Description

POSITION DUTIES:

Compliance/Risk Management

·        Assesses business units and develops corporate compliance and risk management programs and communication of such programs throughout the Company and its affiliates.

·        Manages and insures company compliance with contractual obligations including but not limited to obligations arising under the debt restructuring agreements.

Contracts/ Agreements

·        Participates in structuring complex deals and transactions including real estate deals, partnerships, joint ventures, mergers and acquisitions and construction projects.

·        Prepares (ore reviews) and supports the negotiation on all contractual agreements that bind the company or its affiliates.

·        Develops form agreements, as appropriate, for use by personnel of the Company and its affiliates.

Legal Advisor

·        Serves as a legal advisor to the CEO and Senior Management and the Board of Directors with respect to legal issues that concern the Company and its affiliates. Organizes and prepares materials for director and shareholder meetings. Serves as corporate secretary, including the maintenance of corporate records.

·        Maintains a familiarity with monitoring developments in real estate, construction, finance and corporate law. Inform members of management through effective communication of internal and external problems and opportunities.

·        Selects and manages outside legal counsel and makes recommendations which instances should require outside counsel if necessary.

·        Consults with harvest partnerships regarding asset health and strategies for managing asset health and associated risks.

·        Combines business and legal judgement to collaborate with and support commercial development, residential development, asset management, construction, human resources, sales and executive teams with daily functions.

·        Consults with associates and executives regarding relational and negotiation strategies.

·        Maintains and builds relationships with key influencers including lenders, business owners and attorneys.
